Introduction
Welcome to Wysepay. These Terms of Service (“Terms”) govern your use of the Wysepay website, services and products (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms to which you may agree when using particular elements of the Service. If you do not agree to all of these Terms, do not use the Service.
Description of Services
Wysepay provides a payment processing and management service. The Services provided by Wysepay may change from time to time and Wysepay reserves the right to modify, suspend, or discontinue the Services at any time, for any reason, and without notice to you.
Modifications to the Terms
Wysepay reserves the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to any of these Terms, please stop using the Service.
Eligibility
You represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.
Use of the Service
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise
- To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation
- To impersonate or attempt to impersonate Wysepay, a Wysepay employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service, or which, as determined by Wysepay, may harm Wysepay or users of the Service or expose them to liability
User Content
The Service may allow you to submit, upload, publish or otherwise make available content, including but not limited to text, photographs, videos, and audio (collectively, “User Content”). You retain all rights in, and are solely responsible for, the User Content you make available through the Service.
By making any User Content available through the Service, you grant to Wysepay a non-exclusive, transferable, sub-licensable, royalty-free, perpetual, and worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Service and Wysepay’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to Wysepay the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content, your submission, uploading, publishing or otherwise making available of such User Content, nor Wysepay’s use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
Termination of Service
WysePAY may terminate the service at any time and for any reason. Upon termination of the service, the user’s account will be closed and the user will no longer have access to the WysePAY platform.
Warranties and Disclaimers
WysePAY makes no warranties or representations, express or implied, with respect to the service or any aspect of the service.
Limitation of Liability
WysePAY shall not be liable for any damages arising from the use of the service or any aspect of the service.
Indemnification
The user agrees to indemnify and hold WysePAY harmless from any and all claims, liabilities, damages, and expenses arising from the use of the service.
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the United Kingdom.
